These Terms of Service govern business use of Nilo Assistant, operated by Caimito Services LLC. By creating an account, using the service, or purchasing credits, the customer accepts these terms. If the customer does not agree, it must stop using Nilo.
Nilo is offered only for business and professional use, not for personal, family, or household use. A person using Nilo for an organization confirms that the person is authorized to accept these terms for that organization. The organization is the customer.
Nilo is provided on an at-will basis without a fixed service term. The customer may stop using it at any time. Caimito Services LLC may change, suspend, or discontinue any part of the service at any time and may restrict access for non-payment, abuse, security risk, or violation of these terms. When reasonably practicable, notice will be provided before a material discontinuation.
The customer pays the prices shown when it purchases credits or paid access. Payments are processed by a payment provider. Charges already incurred are not cancelled merely because the customer stops using Nilo and are non-refundable except where required by applicable United States law or expressly stated at purchase.
The customer retains its rights in data, prompts, files, communications, instructions, and other content submitted to Nilo ("Customer Content"). The customer instructs Nilo to process Customer Content only as needed to provide, secure, maintain, and support the service. The customer is responsible for its Customer Content, for having the rights and authority needed to submit it, and for determining whether its use of Nilo complies with laws that apply to the customer.
Caimito Services LLC does not sell Customer Content, use it for advertising, or use it to train artificial-intelligence models. Service providers may process Customer Content only to perform services for Nilo or the customer.
This section applies when the customer is a controller of personal data in Customer Content and Caimito Services LLC processes that data for the customer. It is a binding data-processing agreement between the customer and Caimito Services LLC and applies only to that processing.
Scope and instructions. The subject matter is the Customer Content processed through Nilo. Processing lasts while Nilo provides the service and until the data is deleted in accordance with these terms. The nature and purpose of processing are receiving, storing, organizing, retrieving, transmitting, generating output from, securing, supporting, returning, and deleting Customer Content as directed by the customer through its use and configuration of Nilo. Personal data may include any information the customer chooses to submit. Data subjects may include the customer’s personnel, clients, prospects, contacts, suppliers, and other people represented in that content. The customer’s use and configuration of Nilo are its documented instructions. Nilo will process the data only on those instructions and for the purposes stated in these terms.
Confidentiality and security. Nilo limits access to persons and service providers who need it to provide or protect the service and who are subject to confidentiality obligations. Nilo maintains technical and organizational measures appropriate to the nature of the service and the risks of the processing. Security information will be provided to the customer to the extent reasonably necessary to evaluate the service, subject to confidentiality and security restrictions.
Service providers. The customer gives general authorization for Nilo to use subprocessors needed to provide the service. Nilo will bind them to the same relevant data-protection obligations stated in this section and remains responsible to the customer for their performance of those obligations. Before a new subprocessor processes Customer Content, Nilo will notify the customer through the service or by email. The customer may object on reasonable data-protection grounds; if the parties cannot resolve the objection, the customer’s remedy is to stop the affected use of Nilo.
Assistance, return, and deletion. Taking account of the nature of processing and the information available to Nilo, Nilo will provide reasonable assistance with the customer’s obligations concerning data-subject requests, security, breach notification, data-protection assessments, and prior consultation. On request after use ends, Nilo will delete or return personal data in Customer Content, except for data that Nilo is legally required to retain and residual copies held temporarily in backups.
Information and review. On reasonable written request, Nilo will provide information necessary to demonstrate compliance with this section. If that information is insufficient, Nilo will permit a proportionate review relating to the customer’s data, subject to reasonable notice, confidentiality, security, scope, timing, and cost protections. Nilo will inform the customer if, in Nilo’s opinion, an instruction infringes the GDPR or another data-protection law that applies to the customer’s instruction.
Limited GDPR purpose. These processor terms apply to GDPR-regulated Customer Content only to help a customer meet its obligations when using Nilo as a processor. They do not represent that Nilo is established in the European Union or admit that the GDPR applies directly to other Nilo processing.
Caimito Services LLC is a United States company. Nilo and its service providers process Customer Content in locations selected to provide and support the service, including in the United States and Europe. Processing locations may change over time, and Nilo does not commit to data residency in a particular country or region. A customer subject to European transfer requirements is responsible for determining whether it needs a transfer safeguard before submitting personal data. Where the European Commission’s controller-to-processor Standard Contractual Clauses are required, Caimito Services LLC will make the applicable clauses available on request at info@caimito.net. The customer must obtain any required transfer terms before making the transfer.
Nilo may generate drafts, summaries, suggestions, and other output. Output can be incomplete, inaccurate, or unsuitable for a particular use. The customer is responsible for reviewing output and for decisions or actions taken from it.
Caimito Services LLC retains all rights in Nilo, its software, and related materials. The customer receives only the limited right to use the service under these terms.
Nilo is provided "as is" and "as available" without warranties of uninterrupted operation, accuracy, fitness for a particular purpose, merchantability, or non-infringement. To the maximum extent permitted by applicable United States law, Caimito Services LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities. Its total liability arising from Nilo will not exceed the amount the customer paid to Caimito Services LLC for Nilo during the three months before the event giving rise to the claim.
Caimito Services LLC may update these terms by posting a revised version and changing the effective date. If a change materially affects existing paid use, Nilo may also provide notice through the service or by email. Continued use after the revised terms take effect constitutes acceptance; otherwise, the customer must stop using Nilo.
These terms and the service relationship are governed by the laws of the State of Delaware and applicable federal law of the United States, without regard to conflict-of-law rules. The limited application of mandatory Standard Contractual Clauses to a particular transfer does not change the governing law of the rest of the service relationship.
